Welcome to Matrix AI Pty. Ltd. DBA Matrix AI! These Terms of Service govern your use of all our online services, including but not limited to Polykey, Polykey Enterprise, Inferred, and any other services we offer (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Service Terms

Matrix AI grants you a non-exclusive, non-transferable, revocable license to access and use the Services for your personal or business purposes, in accordance with these Terms.

Matrix AI retains all rights, title, and interest in the Services and any related intellectual property. You may not copy, modify, distribute, sell, or lease any part of our Services or software.

4. Customer Data

You retain all rights to your Customer Data. By using our Services, you grant Matrix AI a limited, non-exclusive, worldwide, royalty-free license to process your Customer Data solely for the purpose of providing the Services.

5. Your Responsibilities

You agree to use the Services in accordance with these Terms and any applicable laws. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

6. Payment Terms

If applicable, you agree to pay all fees associated with your use of the Services. All payments are non-refundable unless otherwise stated. You are also responsible for any applicable taxes, duties, or other government levies.

7. Termination

You may terminate your account at any time by following the instructions provided in the Services. Any fees paid are non-refundable. Matrix AI reserves the right to suspend or terminate your access to the Services if you breach these Terms or if required by law. Upon termination, your access to the Services will be immediately revoked, and we may delete your Customer Data in accordance with our data retention policies.

Matrix AI is committed to protecting your personal data. Please refer to our Privacy Policy for more information on how we handle your data. We implement reasonable security measures to protect your data. However, no method of transmission over the internet or electronic storage is 100% secure.

9. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the use of the Services. This obligation will continue for three years after the termination of these Terms.

10. Warranties and Disclaimers

Matrix AI warrants that the Services will operate in substantial conformity with the provided documentation. Except as expressly provided, the Services are provided "as is" without any warranties of any kind. Matrix AI disclaims all other warranties, whether express or implied.

11. Limitation of Liability

To the extent permitted by law, Matrix AI's liability for any claims arising out of these Terms or your use of the Services is limited to the amount you paid us to use the Services during the 12 months before the claim arose.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising out of these Terms will be resolved in the courts of New South Wales. You agree to submit to the exclusive jurisdiction of these courts.

13. Changes to These Terms

Matrix AI may update these Terms from time to time. If we make significant changes, we will notify you through the Services or via email. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
